1.16 "Third Party Agent" means a third party delivering information-technology or operational services to Customer pursuant to a written contract with Customer.
2. Subscription Grant
2.1 Scope. Subject to the terms and conditions of this EULA and Customer's payment of the applicable fees, Artorias grants Customer, during the Subscription Term, a non-exclusive, non-transferable Subscription to access and use the Service and Documentation, within the Territory, for Customer's internal operations, in accordance with: (a) the Documentation; (b) the Subscription Type for which Customer has paid the applicable fees; and (c) any other limitations set forth in the Order. The Subscription is limited to the number of Authorized Users, alert volumes, API call volumes, or other usage units specified in the Order.
2.2 Third Party Agents. Under the Subscription granted in Section 2.1, Customer may permit its Third Party Agents to access and use the Service on Customer's behalf for the sole purpose of delivering services to Customer, provided that Customer remains fully responsible for each Third Party Agent's compliance with the terms of this EULA and any breach by a Third Party Agent shall be deemed a breach by Customer.
2.3 Permitted Copies of Documentation. Customer may reproduce the Documentation in quantities reasonably necessary for internal use by Authorized Users, provided that each copy: (a) is kept within Customer's possession or control; (b) preserves all titles, trademarks, copyright notices, and restricted-rights legends contained in the original; and (c) is subject to this EULA. Customer may not otherwise copy or redistribute the Documentation without Artorias's prior written consent.
2.4 Benchmarking. Customer may use the Service to conduct internal performance testing, accuracy assessments, and benchmarking studies. Customer may publish or otherwise distribute the results of such studies to third parties only if Artorias has reviewed and approved the methodology, assumptions, and other parameters of the study in writing prior to publication. Requests for such review may be sent to benchmarks@artorias.com.
2.5 Mobile Applications. The Subscription includes the right to install, run, and access the Mobile Applications on Customer-controlled or Authorized-User-controlled devices for the duration of the Subscription Term. Customer is responsible for ensuring that each device on which a Mobile Application is installed meets the security configuration requirements set forth in the Documentation. Mobile Applications distributed through Apple's App Store or Google's Play Store are also subject to the additional terms imposed by those storefronts.
2.6 Open Source Components. Notwithstanding anything in this EULA to the contrary, Open Source Components are licensed to Customer under the applicable open-source license terms, which are made available with the Service or in the Documentation. Those open-source license terms are consistent with the Subscription granted in this Section 2 and may grant additional rights benefiting Customer. To the extent the open-source license terms are more permissive than this EULA, those open-source terms control with respect to the corresponding Open Source Components.
3. Restrictions; Ownership
3.1 Restrictions. Customer acknowledges that the Service, the Mobile Applications, and the structure, organization, source code, models, and pipeline configuration of the foregoing constitute valuable trade secrets of Artorias. Accordingly, except as expressly permitted in Section 2 or as otherwise authorized by Artorias in writing, Customer shall not, and shall not permit any third party to: (a) sell, lease, license, sublicense, distribute, or otherwise transfer the Service, the Mobile Applications, or the Documentation in whole or in part to any third party; (b) decompile, disassemble, reverse engineer, or otherwise attempt to derive source code, training data, model weights, or non-public APIs from the Service or the Mobile Applications, in whole or in part; (c) copy any portion of the Service or the Mobile Applications, except as expressly permitted by Section 2.3; (d) create, develop, install, or deploy any software or service intended to circumvent, modify, or otherwise defeat any technical limitation, authentication mechanism, rate limit, or access control of the Service; (e) translate, modify, or create derivative works of the Service, the Mobile Applications, or the Documentation; (f) permit any access to or use of the Service by any person other than Authorized Users and permitted Third Party Agents; (g) remove, alter, or obscure any product identification, proprietary, trademark, or copyright notice contained in the Service or the Documentation; (h) operate the Service on behalf of, or for the benefit of, any third party, including operating any service or product accessed by a third party; (i) use the Service, the Mobile Applications, or any output thereof to design, develop, train, evaluate, or improve any product or service that is competitive with the Service; or (j) use the Service for any unlawful purpose or in violation of any third party's rights.
3.2 Permitted Reverse Engineering. Notwithstanding Section 3.1, reverse engineering of the Service or the Mobile Applications is permitted to the limited extent that the laws of the Territory grant Customer an express, non-waivable right to do so to obtain information necessary to render the Service interoperable with other software. Customer must first request such information in writing from Artorias at legal@artorias.com and provide all reasonably requested information to allow Artorias to evaluate the request. Artorias may, in its discretion, either provide the requested interoperability information, impose reasonable conditions (including a reasonable fee) on such activity, or propose alternatives that achieve interoperability while protecting Artorias's proprietary rights.
3.3 Ownership. The Service, the Mobile Applications, the Documentation, all copies and portions thereof, all improvements, enhancements, modifications, and derivative works thereof, and all Intellectual Property Rights therein, are and shall remain the sole and exclusive property of Artorias and its licensors. Customer's rights to access and use the Service and Documentation are limited to those expressly granted in this EULA and the applicable Order. No other rights with respect to the Service or any related Intellectual Property Rights are implied or granted. Customer is not authorized to use, and shall not permit any third party to use, the Service, the Mobile Applications, or the Documentation except as expressly authorized.
3.4 Customer Data. As between the parties, Customer retains all right, title, and interest in and to Customer Data. Customer grants Artorias a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, display, and otherwise use Customer Data solely as necessary to operate, secure, support, and improve the Service for Customer. Customer represents and warrants that it has all rights and authorizations necessary to submit Customer Data to the Service and to grant the foregoing license, and that Customer Data does not violate any law or any third-party right.
4. Order
Each Order is subject to and incorporates this EULA. No Order is binding on Artorias until accepted by Artorias, which acceptance shall be evidenced by countersignature, written confirmation, or provisioning of the Service. Orders are valid and enforceable without manual signature where Customer has accepted electronically. The terms of this EULA related to delivery, pricing, payment, and taxes do not apply to Customer's purchases of Subscriptions or services through an Artorias authorized reseller; such terms shall be established directly with the reseller.
5. Audit Rights
5.1 Records. Customer shall, during each Subscription Term acquired under this EULA and for a period of two (2) years following the expiration of that Subscription Term, maintain accurate records of its access to and use of the Service sufficient to demonstrate Customer's compliance with this EULA and any Order, including, where applicable, the number of Authorized Users provisioned and the volume of API calls or alert dispatches consumed.
5.2 Audit Rights. During the period in which Customer is obligated to maintain the records described in Section 5.1, Artorias or its independent third-party auditor may, on at least thirty (30) days' prior written notice and during normal business hours, audit those records to verify that Customer has (a) used the Service solely as authorized; (b) paid all applicable Subscription fees; and (c) otherwise complied with this EULA and any Order. Artorias may conduct no more than one (1) audit in any twelve (12)-month period. Artorias and its auditors will use commercially reasonable efforts to minimize disruption to Customer's business and shall not have physical access to Customer's computing infrastructure without Customer's prior written consent. Customer shall reasonably cooperate with the audit. If an audit reveals an underpayment, Customer shall promptly pay the deficiency together with the reasonable cost of the audit if the underpayment exceeds five percent (5%) of fees owed.
6. Support and Subscription Services
Except as expressly described in the Support Terms or in the applicable Order, Artorias provides no support, maintenance, training, or implementation services under this EULA. Customer is not entitled to any updates, upgrades, releases, or enhancements to the Service developed by Artorias unless Customer has purchased a Subscription that includes such services or has separately purchased the corresponding service offering. Where included, support and subscription services are governed by the Support Terms.
7. Warranties
7.1 Service Warranty. Artorias warrants to Customer that, during the Subscription Term, the Service will perform substantially in accordance with the applicable Documentation, provided that the Service has been accessed and used at all times in accordance with that Documentation and has not been modified or augmented by any party other than Artorias or its authorized representative. As Customer's sole and exclusive remedy, and Artorias's sole obligation, for any breach of the foregoing warranty, Artorias will, at its expense, use commercially reasonable efforts to correct any reproducible non-conformity in the Service that Customer reports in writing during the Subscription Term. If Artorias determines, in its reasonable discretion, that it is unable to correct the non-conformity, Artorias will refund the prorated Subscription fees actually paid by Customer for the affected Subscription period, in which case the Subscription and Customer's right to access the Service will terminate.
7.2 Disclaimer of Warranties. THE EXPRESS WARRANTY IN SECTION 7.1 IS IN LIEU OF, AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTORIAS AND ITS LICENSORS DISCLAIM, ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE, REGARDING OR RELATING TO THE SERVICE, THE MOBILE APPLICATIONS, THE DOCUMENTATION, OR ANY MATERIALS FURNISHED OR PROVIDED TO CUSTOMER UNDER THIS EULA. ARTORIAS AND ITS LICENSORS DO NOT WARRANT THAT THE SERVICE WILL OPERATE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL BE FREE FROM DEFECTS, OR THAT THE SERVICE WILL MEET, OR IS DESIGNED TO MEET, CUSTOMER'S BUSINESS REQUIREMENTS. ARTORIAS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY ALERT, INDICATOR, OR OUTPUT GENERATED BY THE SERVICE; ALL OUTPUTS ARE INFORMATIONAL AND CUSTOMER REMAINS SOLELY RESPONSIBLE FOR ANY DECISION TAKEN IN RELIANCE ON THEM.
8. Intellectual Property Indemnification
8.1 Defense and Indemnification. Subject to the remainder of this Section 8, Artorias shall defend Customer against any third-party claim that the Service, when used by Customer in accordance with this EULA, infringes any patent, trademark, or copyright of, or misappropriates a trade secret of, such third party under the laws of (a) the United States, (b) Canada, (c) the European Economic Area, (d) the United Kingdom, (e) Australia, (f) New Zealand, or (g) Japan, to the extent such jurisdictions are part of the Territory ("Infringement Claim"), and shall indemnify Customer from the resulting costs and damages finally awarded against Customer by a court of competent jurisdiction or agreed in settlement, provided that Customer: (i) promptly notifies Artorias in writing of the Infringement Claim; (ii) gives Artorias sole control over the defense and any settlement negotiations; and (iii) reasonably cooperates with Artorias at Artorias's expense. Customer may not settle or compromise any Infringement Claim without Artorias's prior written consent.
8.2 Remedies. If the Service becomes, or in Artorias's reasonable opinion is likely to become, the subject of an Infringement Claim, Artorias may, at its option and expense: (a) procure the rights necessary for Customer to continue using the Service in accordance with this EULA; (b) modify or replace the affected portion of the Service to make it non-infringing while substantially preserving its functionality; or (c) terminate the affected Subscription and refund any prepaid Subscription fees attributable to the period after termination. Nothing in this Section 8.2 limits Artorias's defense and indemnification obligations under Section 8.1, provided that Customer cooperates with the remediation actions Artorias selects.
8.3 Exclusions. Artorias has no obligation under this Section 8 with respect to any claim arising from or based on: (a) any combination of the Service with non-Artorias products, services, data, or content not provided or expressly approved by Artorias; (b) use of the Service for a purpose or in a manner not contemplated by the Documentation; (c) use of an older version of the Service when use of a newer version made available by Artorias would have avoided the alleged infringement; (d) any modification to the Service made without Artorias's prior written approval; (e) any Open Source Component to the extent the claim arises from such component's open-source license terms or Customer's failure to comply with them; (f) Customer Data; or (g) any portion of the Service provided on a no-charge, beta, or evaluation basis. THIS SECTION 8 STATES CUSTOMER'S SOLE AND EXCLUSIVE REMEDY, AND ARTORIAS'S ENTIRE LIABILITY, WITH RESPECT TO ANY INFRINGEMENT CLAIM.
9. Limitation of Liability
9.1 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARTORIAS OR ITS LICENSORS BE LIABLE FOR ANY LOST PROFITS OR BUSINESS OPPORTUNITIES, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF DATA, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE PRECEDING LIMITATION MAY NOT APPLY TO CUSTOMER. THE TOTAL CUMULATIVE LIABILITY OF ARTORIAS AND ITS LICENSORS UNDER THIS EULA, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, SHALL NOT EXCEED THE LESSER OF (a) THE FEES PAID BY CUSTOMER TO ARTORIAS UNDER THE APPLICABLE ORDER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) FIVE MILLION U.S. DOLLARS ($5,000,000.00 USD). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER ARTORIAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
9.2 Further Limitations. Artorias's licensors shall have no liability of any kind under this EULA, and Artorias's liability with respect to any third-party software embedded in the Service shall be subject to Section 9.1. Customer may not bring any claim under this EULA more than eighteen (18) months after the cause of action arises.
10. Termination
10.1 Term. This EULA takes effect on the effective date of the first Order that incorporates it and continues for the duration of the Subscription Term, unless terminated earlier under this Section 10. Sections 1, 2.6, 3, 5, 7.2, 9, 10, 11, and 12 survive termination of this EULA.
10.2 Termination for Breach. Either party may terminate this EULA immediately upon written notice to the other party if (a) the other party breaches any provision of Section 3 (Restrictions; Ownership) and does not cure the breach within thirty (30) days after receiving written notice of the breach, or (b) the other party breaches any other provision of this EULA and does not cure the breach within thirty (30) days after receiving written notice of the breach.
10.3 Termination for Insolvency. Either party may terminate this EULA immediately upon written notice to the other party if the other party (a) terminates or suspends its business; (b) becomes insolvent, admits in writing its inability to pay its debts as they mature, makes an assignment for the benefit of creditors, or becomes subject to control of a trustee, receiver, or similar authority; or (c) becomes subject to any bankruptcy or insolvency proceeding that is not dismissed within sixty (60) days.
10.4 Effect of Termination. Upon termination of this EULA: (a) all rights granted to Customer under this EULA immediately cease; (b) Customer shall promptly discontinue all use of the Service and the Mobile Applications, uninstall the Mobile Applications from each device on which they have been installed, and return or, at Artorias's request, destroy all Documentation and Confidential Information of Artorias in Customer's possession or control, certifying such return or destruction in writing if requested; and (c) Artorias shall, on Customer's written request received within thirty (30) days after termination, make Customer Data available to Customer for export in a commonly used format, after which Artorias may delete Customer Data from the Service in accordance with its data-retention practices. Termination does not relieve Customer of any obligation to pay fees accrued through the effective date of termination.
11. Confidential Information
11.1 Definition. "Confidential Information" means information or materials provided by one party ("Discloser") to the other party ("Recipient") that are either (a) marked or otherwise identified as confidential at or before the time of disclosure, or (b) information that a reasonable person knew or should have known to be confidential under the circumstances. The following information of Artorias shall be considered Confidential Information whether or not so marked: (i) account credentials, API tokens, and security parameters issued to Customer; (ii) Artorias pricing, product roadmaps, source weighting, model architecture, and strategic plans; and (iii) any non-public materials relating to the Service. Customer Data is Confidential Information of Customer.
11.2 Protection. Recipient may use Confidential Information of Discloser solely (a) to exercise its rights and perform its obligations under this EULA or (b) in connection with the parties' ongoing business relationship. Recipient shall not use Confidential Information for any other purpose and shall disclose Confidential Information only to those of its employees and contractors who have a need to know it for purposes of this EULA and who are bound by confidentiality obligations no less restrictive than those of Recipient under this Section 11. Recipient shall protect Confidential Information from unauthorized use, access, or disclosure with the same degree of care it uses to protect its own confidential information of similar nature, and in no event with less than reasonable care.
11.3 Exceptions. Recipient's obligations under Section 11.2 do not apply to information that Recipient can demonstrate by written records: (a) was already known to Recipient at the time of disclosure free of any obligation of confidentiality; (b) was disclosed to Recipient by a third party that had the right to make the disclosure without confidentiality restriction; (c) is, or has become through no fault of Recipient, generally available to the public; or (d) was independently developed by Recipient without use of or access to Discloser's Confidential Information. Recipient may disclose Confidential Information to the extent required by law, regulation, or order of a court or other authority of competent jurisdiction, provided that Recipient gives Discloser prompt written notice (where lawful) and reasonable cooperation, at Discloser's request and expense, to contest or limit the scope of the required disclosure.
12. General
12.1 Assignment. Customer may not assign, subcontract, or transfer this EULA or any Order, or any of Customer's rights or obligations under them, in whole or in part, whether by operation of law, contract, merger, or otherwise, without Artorias's prior written consent. Any attempted assignment or transfer in violation of the foregoing is null and void. Artorias may assign this EULA to any successor to all or substantially all of its business or assets to which this EULA relates, whether by merger, acquisition, sale of assets, or reorganization. Subject to the foregoing, this EULA is binding upon, and inures to the benefit of, the parties and their respective successors and permitted assigns.
12.2 Notices. Any notice required or permitted under this EULA shall be in writing and delivered by (a) personal delivery, (b) certified or registered mail (return receipt requested), (c) recognized overnight courier, or (d) email to legal@artorias.com with confirmation of delivery. Notices to Customer may also be delivered via the email address on file for Customer's primary administrator or via in-Service notice. Notices are effective on receipt.
12.3 Waiver. The waiver of a breach of any provision of this EULA does not constitute a waiver of any other provision or any subsequent breach. No waiver is effective unless in writing signed by an authorized representative of the waiving party.
12.4 Severability. If any provision of this EULA is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the provision shall be enforced to the maximum extent permissible to give effect to the parties' intent, and the remaining provisions of this EULA shall remain in full force and effect.
12.5 Compliance with Laws; Export Control. Each party shall comply with all laws applicable to its performance under this EULA. Customer acknowledges that the Service and the Mobile Applications are of United States origin and are subject to U.S. export-control laws and regulations, and may be subject to the export-control or import laws of other jurisdictions. Customer represents and warrants that (a) Customer is not, and is not acting on behalf of, any person or entity (i) located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. trade sanctions, or (ii) listed on the U.S. Treasury Department List of Specially Designated Nationals and Blocked Persons, the U.S. Commerce Department Denied Persons List or Entity List, or any analogous restricted-party list of any other jurisdiction; and (b) Customer will not export, re-export, transfer, or permit the use of the Service for any purpose prohibited by applicable export-control or sanctions laws, including any prohibited development, design, manufacture, or production of nuclear, chemical, biological, or missile weapons.
12.6 Construction. The headings of sections of this EULA are for convenience only and do not affect interpretation. As used in this EULA, "including" means "including, without limitation," and references to a specific gender include all genders. Ambiguities, if any, shall not be construed against the drafter.
12.7 Governing Law. This EULA is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in New York County, New York shall have exclusive jurisdiction over any dispute arising under this EULA, and the parties consent to the personal jurisdiction and venue of those courts.
12.8 Third-Party Rights. Except as expressly provided in this EULA, this EULA does not create any rights for any person who is not a party to it, and no person who is not a party may enforce any of its terms or rely on any exclusion or limitation contained in it.
12.9 Order of Precedence. In the event of any conflict or inconsistency between this EULA and an Order, the terms of this EULA control, except where the Order expressly states that a specific term of the Order supersedes a specific corresponding term of this EULA and is signed by an authorized representative of each party. Pre-printed terms on Customer purchase orders, acknowledgements, or other business forms are of no force and effect.
12.10 Entire Agreement. This EULA, together with each accepted Order and any amendments thereto signed by both parties, constitutes the entire agreement of the parties with respect to its subject matter and supersedes all prior or contemporaneous communications, representations, proposals, commitments, and agreements, whether written or oral, on that subject. This EULA may be amended only in a writing signed by authorized representatives of both parties or by Artorias's posting of an updated version of this EULA, in which case the updated version applies to Subscription Terms commencing or renewing after the posting date.
